Constance is a corporate, banking and finance lawyer.

She acts for large multi-national corporations, finance banks, ship owners, lessors and operators in a wide range of financing, and sale and leaseback transactions. Constance also regularly advises clients in banking and financial transactions involving loan and security documentation, and in corporate transactions, in relation to mergers and acquisitions, shareholder matters, service level agreements and commercial contracts.

As part of her unique career experience, Constance was a legal counsel at Mizuho Bank Ltd., where she worked on banking and finance matters, such as bilateral and syndicated financing agreements, trade finance agreements, documentary credits, participation agreements and bank-to-bank financing agreements, amongst others.

Constance also regularly acts for clients in relation to non-contentious shipping matters, including vessel sale and purchases, vessel registrations, shipbuilding contracts and charter arrangements.

She is an Advocate and Solicitor of the Supreme Court of Singapore, and she read law at the Singapore Management University.

Constance is fluent in English and Mandarin.

Experience / Representative Matters

Ship Financing

Acted as transaction counsel to a finance and leasing house in relation to a USD 8 million facility agreement. The agreement had an embedded guarantee, granted to three borrowers who are part of a cargo shipping group based in Singapore, for the purpose of refinancing an existing facility, involving a full suite of security, such as vessel mortgage, charge over earnings and insurances, share charges and undertakings.

Acted as transaction counsel to lenders on vessel financing mandates totalling USD 17 million involving two vessels. Each facility agreement contained embedded guarantees and involved a full and complex suite of cross-border security, including vessel mortgages, charges over earnings and insurances, and share charges spanning across Panama, Malaysia, Marshall Islands and Singapore.

Banking and Finance

Acted as Singapore Counsel in respect of a borrowing base facility granted by an international bank and a syndicate of lenders to an oil trading company amounting to approximately USD 200 million.

Advised an international trading house on their ISDA transactions including schedules and credit support annexes with various counterparties in Malaysia, Thailand, Australia, the Philippines, India and Indonesia

Corporate, Mergers & Acquisitions

Advisor to Tagteam Technologies Pte. Ltd., an AI driven data annotation start-up on its series A funding. Conducted a convertible loan note agreement with PT Telekomunikasi Selular, an Indonesian telecommunications company and SBI-NTU-Kyobo Digital Innovation Fund, which is a collaboration between Japan’s SBI Holdings, NTU Singapore’s NTUitive, and South Korea’s Kyobo Life Group, and other existing investors. In this transaction, we advised clients on the onboarding of 5 new investors from various jurisdictions including Indonesia and Australia.

Advised an LNG energy company in relation to the divestment of shares in 4 joint venture companies by its shareholder partner, a global logistics enterprise (“Outgoing Shareholder”) to a third-party purchaser (“Incoming Shareholder”). This involved, among other things, advising the Outgoing Shareholder on the transfer and reassignment of security interests and loans from the Outgoing Shareholder to the Incoming Shareholder and advising and negotiating the amendment of the shareholders’ agreement made between the client and the Incoming Shareholder. The quantum of the divestment was in excess of USD 500 million.
