Jessica Cheung

Jessica is a key member of the Corporate, Mergers & Acquisitions and Banking & Finance Practice Groups. She regularly acts for global banks, other financial institutions and corporate borrowers on cross-boarder banking transactions and has been heavily involved in all aspects of financing mandates involving clients in China. She also advises on mergers and acquisitions, joint ventures and other general commercial transactions. 

Prior to joining Helmsman, Jessica practised law at an international shipping law firm in Hong Kong, where she specialised in ship finance work, ship sale and purchase transactions and vessel registrations. She continues to advise on shipping-related matters as part of her current practice.

Jessica read law at the University of Liverpool, graduating with First Class Honours, and obtained her LLM degree with Distinction from the University of Hong Kong. Jessica is effectively trilingual in English, Mandarin Chinese and Cantonese.


Experience / Representative Matters

Banking and Finance

Advised a syndicate of European banks in respect of a term and revolving loan facilities of up to £55 million to a professional services partnership with offices across Asia, Europe and North America. 

Advised a private equity fund and strategic advisory firm with presence in Singapore, Dubai, London and Mumbai, which invests in, among others, the industrials, metals and power sectors globally, in relation to the refinancing of a US$33 million loan, involving both Singapore and Hong Kong law.

Shipping Transactional Matters

Advised and represented a shipping and logistics company listed on The Stock Exchange of Thailand, on shipbuilding contracts for a fleet of 6 newbuild oil tankers, and the subsequent services agreement with the new building supervision arm of a leading and long-established ship owning and maritime services group. 

Acted as the transaction counsel to a state-owned bank in Indonesia in relation to the intercompany transfer of 2 vessels, which entails advising on the novation and assumption of existing mortgages, full suite of vessel security, and the reflagging of the 2 vessels with the Singapore ship registry. 

Merger and Acquisitions

Advised and acted as counsel to a Shangdong provincial government-owned subsidiary in its potential acquisition of 2 Singapore joint ventures owned by the leading German and Chinese automotive groups.

Acted for a renowned ship and crew management company with 30 locations across Asia-Pacific, Europe and the United States, in successfully completing the acquisitions of US, Portugal and Swiss companies which provide technical management, construction supervision and onboard cruise services in the United States and Europe.
